Terms of use — EQT Investor Portal
Introduction
The contractual relationship between you as a user (" you" or the "User") and EQT AB (" EQT", "we", "us", " our") in relation to your access or use of the Portal is governed by these Terms of Use.
By accessing and using the Portal you agree to be bound by these Terms of Use. If you do not wish to be bound by these Terms of Use, do not access or use the Portal.
Use of the Portal
In order to access and use the Portal, you need a user account. Primary user accounts are set up by EQT or by a service provider engaged by us. Once a primary user account is set up, its user may grant and manage access rights to the Portal including creating users with administrative rights (“Administrative Coordinators”). You are fully responsible for and solely liable in connection with any access to or use of the Portal by third parties to whom you grant access. This includes individuals accessing the Portal through your primary account or those invited by you as administrators, agents, representatives, contractors, or any other users authorized by you. It is your duty to ensure that such third parties comply with these Terms of Service. Additionally, we disclaim all liability for any use of the Portal by third parties acting on behalf of a client but operating in their own name through a primary account but on a client’s behalf and clients operating such setup remains fully responsible for such third parties’ actions.
You are solely responsible for any fees and charges for internet traffic and data usage that you may incur when accessing and using the Portal.
When you access or use the Portal you represent and warrant that you will not:
- breach or circumvent (or encourage anything that would breach or circumvent) any laws, rules, regulations or third party rights;
- gain access (or attempt to gain access) to any area where you do not have a right or permission to be;
- distribute viruses, malicious software, use any worms, Trojan horses, cancelbots, spyware, corrupted files, time bombs, robots, scrapers, spiders or any other automatic means to access, damage, disrupt or interfere with the Portal for any reason;
- take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
- frame, mirror or otherwise incorporate any part of the Portal into any other website, software or service without our prior written authorization;
- bypass, circumvent or interfere with any technical measures used by us to provide the Portal; or
- impersonate another person or use someone else's user account.
You may not:
- copy, modify, change, reverse engineer or disassemble the Portal (or parts thereof) except as permitted by law, including, but not limited to, text, graphics, logos, icons, pictures, sound files, digital downloads, object code, source code and/or other thereto related material; or
- permit anyone else (other than Portal users associated with your organization who have their own user accounts) to make use of the Portal (or parts thereof), including, but not limited to, text, graphics, logos, icons, pictures, sound files, digital downloads, object code, source code and/or other thereto related material.
You are expressly prohibited from any use of data mining, robots or similar data gathering and extraction tools in your use of the Portal.
If you (in our view) act in breach of these Terms of Use or otherwise abuse the Portal, EQT reserves the right to (i) limit, suspend and deny your access to the Portal; (ii) take technical and/or legal steps to prevent further use of the Portal; and (iii) terminate your user account. We may suspend, change, discontinue or restrict access to any portion of the Portal at any time and without notice.
Ownership
Any and all content in the Portal, including text, graphics, logos, icons, pictures, sound files, digital downloads, object code, source code and/or other thereto related material are owned or licensed by EQT.
Nothing in these Terms of Use shall be interpreted as a transfer of any of EQT's material or intellectual property rights to the User.

Liability, non-warranty and indemnification
We endeavor to keep the Portal available at all times and to correct errors and defects without unnecessary delay. However, EQT neither represents nor warrants that the Portal will be continuous, uninterrupted or error-free or that any defects will be corrected. The Portal is provided by EQT on an "as-is" and "as available" basis.
You acknowledge and accept that the Portal may become unavailable due to planned or unplanned service, maintenance and/or updates.
The Portal may provide links or references to other websites. Such links are only provided for informational purposes, and EQT has no control or liability for the content of such websites or resources.
EQT shall not be liable for any damages, losses, liabilities, costs, or expenses of any kind, whether direct, indirect, incidental, consequential, punitive, or otherwise, arising out of or in any way connected with your access to, use of, inability to use, reliance on, or interaction with the Portal, any content, functionality, or services provided through the Portal, or any errors, interruptions, or security breaches relating to the Portal. This limitation of liability applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and even if EQT has been advised of the possibility of such damages.
By accessing and using the Portal, you agree to indemnify EQT and its affiliates, and each of their respective partners, stockholders, members, managers, officers, directors, employees, investment advisers and agents (collectively, the "EQT Indemnitees") against, and hold the EQT Indemnitees harmless from, any and all claims, demands, debts, obligations, liabilities, damages (actual, consequential or special), costs and expenses of any kind whatsoever (collectively, "Claims"), including attorneys' fees, arising from your use of the Portal. You hereby release the EQT Indemnitees from any and all Claims that you may have against the EQT Indemnitees arising out of or in any way related to such disputes
Termination
These Terms of Use remain in effect as long as you use the Services. You can terminate the Terms of Use by stopping your use of the Portal at any time. However, these Terms of Use shall continue to apply in relation to your past use.
Changes to the terms of use
We reserve the right to change these Terms of Use at any time. Any changes to these Terms of Use will be notified to you in advance. By accessing and using the Portal following any such change you acknowledge and agree to be bound by the updated version of these Terms of Use. If you do not accept the new Terms of Use you may not continue to use the Services.
Miscellaneous
Entire Agreement. These Terms of Use constitute the entire agreement between EQT and the User concerning the Portal.
Assignment. EQT is entitled to transfer all or part of our rights and responsibilities under these Terms of Use to any third party without obtaining the User's consent. The User may, however, not transfer any of the rights granted under these Terms of Use, without EQT's prior written consent.
Severability. If at any time any provision of these Terms of Use is or becomes invalid, illegal or unenforceable under applicable law, the validity, legality and enforceability of the remainder of these Terms of Use shall not be affected. In the event any provision is held in any proceeding to be invalid, illegal or unenforceable, the deficient provision shall be replaced with a new provision permitted by applicable law and having an effect as close as possible to the deficient provision.
No waiver. Delay by either party to exercise a right or remedy under these Terms of Use shall not affect such party's right to enforce such right or remedy at a later time. A waiver by any party of any breach of any provision under these Terms of Use shall not be construed to be a waiver by such party in relation to subsequent breaches of such or other provisions herein.
Governing law and disputes. These Terms of Use are governed by Swedish law, without giving effect to any principles of conflicts of law. Any dispute arising out of your use of the Portal shall be settled by the courts of Sweden.
